Terms of Service
These Terms of Service govern your use of Purpose Lab services, platforms, and engagements with partner organizations.
1. Service Description
Purpose Lab provides strategic consulting, organizational coherence optimization, patent architecture development, systems design, and related advisory services. Services are delivered through our platform, direct engagements, and partner coordination (including with organizations like BSO Services). Service scope, deliverables, and timelines are defined in individual engagement agreements or Memoranda of Understanding.
2. Engagement & Payment Terms
Engagements are formalized through executed Memoranda of Understanding or service agreements specifying fees, payment schedules, and deliverables. Payments are processed through designated methods (such as Wise). Fees are non-refundable unless otherwise specified in the engagement agreement. Late payments may result in service suspension.
3. Intellectual Property & Attribution
Intellectual property developed during engagements belongs to the engaging organization, except where Purpose Lab's proprietary methodologies and frameworks are involved. Purpose Lab retains the right to be credited as an editor or IP formation partner in publicly disclosed materials. Confidential insights and anonymized case studies may be used by Purpose Lab for service improvement and market positioning.
4. Confidentiality & Non-Disclosure
Both Purpose Lab and engaging organizations agree to maintain strict confidentiality regarding engagement materials, strategies, financial information, and all proprietary data shared during the relationship. Confidentiality obligations survive termination of the engagement.
5. Platform Access & Acceptable Use
Users agree to use Purpose Lab platforms and services only for authorized purposes. Prohibited activities include unauthorized access, data scraping, reverse engineering, disrupting services, or using platforms for illegal purposes. Purpose Lab reserves the right to suspend or terminate access for violations of these terms.
6. Mediators & Partner Coordination
Purpose Lab may coordinate with mediators (such as Adarsha Bhattarai) or partner organizations (such as BSO Services) to facilitate engagements. All parties agree that designated mediators and partners may access engagement-related information as needed for coordination purposes, subject to confidentiality agreements.
7. Limitation of Liability
Purpose Lab provides services "as is" without warranties of specific results. In no event shall Purpose Lab be liable for indirect, incidental, or consequential damages arising from service use or engagement outcomes. Liability is limited to amounts paid for services in the preceding 12 months.
8. Indemnification
Users agree to indemnify and hold harmless Purpose Lab from claims, damages, or liabilities arising from misuse of services, violation of these terms, or infringement of third-party rights through user-provided materials.
9. Termination & Dispute Resolution
Either party may terminate engagements with written notice as specified in the engagement agreement. Disputes shall be resolved through good-faith negotiation. If unresolved, disputes shall be governed by the laws of the jurisdiction specified in the engagement agreement and resolved through binding arbitration or litigation as appropriate.
